MIYI WALLET TERMS OF USE

1. Introduction and Agreement

This Terms of Use agreement ("Agreement" or "Terms") is a legally binding contract between you ("User", "you", or "your") and MIYI, a company incorporated and registered under the laws of Saint Lucia ("MIYI", "Company", "we", "us", or "our"). MIYI Wallet is a product and service operated by MIYI and is not a separate legal entity. These Terms govern your access to and use of the MIYI Wallet client-side application, software, websites, and associated features (collectively, the "Services").

By downloading, installing, importing, creating, or interacting with the MIYI Wallet software, you acknowledge that you have read, understood, and agreed to be bound by these Terms, along with our Privacy Policy and General Risk Disclosure Statement. If you do not accept all of these terms, you are prohibited from accessing or using the Services.

We reserve the right to amend, update, or modify these Terms at our discretion. Any revisions will take effect immediately upon being posted within the application interface or on the official MIYI Wallet Terms page at https://www.miyiwallet.com/terms. Continued use of the Services after updates are published constitutes acceptance of the modified Terms.

2. Eligibility and Regulatory Compliance

To access or use the MIYI Wallet, you represent and warrant that:

  • Age Requirement: You are at least eighteen (18) years of age or have reached the age of legal majority in your jurisdiction.
  • Legal Authority: You possess full legal power and authority to enter into this contract, whether individually or on behalf of an entity.
  • Compliance with Laws: Your access to the Services complies with all applicable local, national, and international laws, rules, and regulations.
  • Sanctions Limitations: You are not located in, resident of, or operating from any country or territory subject to comprehensive international trade sanctions or embargoes. You are not listed on any restricted-party or sanctions list maintained by applicable government authorities.
  • No Prohibited Activities: You will not utilize the Services to engage in, facilitate, or support any unlawful acts, including money laundering, terrorist financing, tax evasion, or fraud.

3. Nature and Scope of Services

3.1 Non-Custodial Architecture

MIYI Wallet is strictly a self-custodial (non-custodial) software interface. The application facilitates user interaction with supported public blockchain networks. The core functionalities provided by MIYI Wallet are strictly limited to:

  • Key Generation & Management: Local generation and client-side storage of cryptographic public/private key pairs and seed recovery phrases on your device.
  • Deposits: Displaying public wallet addresses and corresponding QR codes to receive incoming digital asset transfers from external sources.
  • Withdrawals: Preparing, cryptographically signing, and broadcasting outgoing digital asset transfer transactions to public blockchain networks.
  • QR Code Scan-to-Pay: Reading and parsing destination blockchain addresses and transaction details from scanned QR codes to execute peer-to-peer or merchant payments.

3.2 Service Exclusions

MIYI Wallet does not operate as a custodial exchange, fiat payment gateway, automated market maker (AMM), asset custodian, yield aggregator, or financial advisory platform. The Services do not include token swaps, earning programs, launchpads, tokenized equity trading, or margin facilities.

4. Self-Custodial Responsibilities and Security

4.1 Exclusive Control

You maintain exclusive control and ownership over your digital assets, private keys, and secret recovery phrases (seed phrases) at all times. MIYI does not manage, hold, or store your private key material or passcodes on centralized servers.

4.2 Non-Recoverability

MIYI CANNOT RESTORE, RESET, OR RECOVER YOUR PRIVATE KEYS, SEED PHRASES, OR PASSCODES. If you lose access to your device, forget your security credentials, or fail to back up your recovery phrase, your digital assets will become permanently unrecoverable. MIYI accepts zero responsibility or liability for lost or compromised security credentials.

4.3 Endpoint Security

You are solely responsible for:

  • Safeguarding your secret recovery phrase in a secure, offline backup environment.
  • Maintaining the physical and digital security of the device running the application.
  • Protecting your device against unauthorized access, malware, keyloggers, screen recording tools, and clipboard tampering scripts.

5. Deposit and Withdrawal Terms

5.1 On-Chain Finality

All digital asset transactions processed through the MIYI Wallet software are submitted directly to public blockchain networks. Once confirmed on the blockchain, transactions are permanent, irreversible, and non-refundable. MIYI has no technical ability to modify, delay, pause, or reverse any on-chain transfer.

5.2 Transaction Verification

Prior to authorizing any deposit or withdrawal, you must carefully verify:

  • The exact receiving or sending wallet address.
  • The selected blockchain network and token standard (e.g., ERC-20, TRC-20, BEP-20).
  • The asset type and transaction amount.

MIYI is not liable for loss of funds resulting from transfers dispatched to incorrect addresses, unsupported networks, or mismatched contract standards.

5.3 Network Validation Fees (Gas)

Outgoing transfers require blockchain network validation fees ("Gas Fees"). These fees are dictated by underlying blockchain network conditions and are paid directly to network miners or validators, not to MIYI. MIYI does not collect, set, or profit from Gas Fees and is not responsible for transaction failures or delays caused by network congestion or insufficient fee allocations.

6. QR Code Scan-to-Pay Conditions

6.1 Functionality

The QR Code Scan-to-Pay tool is an automated optical parsing feature designed to read cryptographic addresses and payment attributes encoded within QR codes.

6.2 Pre-Authorization Check

When executing payments via QR code scanning, you must independently review and confirm that the address, network chain, and payment amount displayed on your confirmation screen match the intended recipient before signing the transaction.

6.3 Commercial & Merchant Disclaimers

MIYI Wallet serves solely as a transaction creation and signature interface. MIYI is not a payment processor, escrow agent, or merchant intermediary.

  • MIYI is not a party to any commercial contract between you and a merchant or third-party payee.
  • MIYI makes no warranties regarding the quality, safety, legality, delivery, or fulfillment of goods or services purchased using the QR Scan-to-Pay feature.
  • All commercial disputes, refund claims, or delivery failures must be resolved directly with the recipient merchant or party.

7. Prohibited Uses

You agree not to use the Services to:

  • Violate any local, national, or international law, statute, or regulation.
  • Engage in fraudulent schemes, money laundering, darknet transactions, or illegal gambling.
  • Transact with individuals, entities, or jurisdictions subject to economic sanctions.
  • Decompile, reverse engineer, or attempt to extract source code from proprietary components of the application.
  • Distribute malicious software, trojans, viruses, or logic bombs designed to disrupt device functionality or compromise cryptographic security.
  • Generate misleading or fraudulent QR codes to misrepresent payment destinations.

8. Intellectual Property

All design assets, trademarks, branding, logos, proprietary code, and user interface elements associated with the MIYI Wallet belong exclusively to MIYI and its licensors. Subject to your strict compliance with these Terms, MIYI grants you a limited, non-exclusive, revocable, non-transferable, and personal license to download and use the application solely for personal, non-commercial purposes on compatible devices.

9. Disclaimer of Warranties

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW:

  • THE SERVICES ARE PROVIDED STRICTLY ON AN "AS IS" AND "AS AVAILABLE" BASIS WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS, IMPLIED, OR STATUTORY.
  • MIYI EXPRESSLY DISCLAIMS ALL IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, QUIET ENJOYMENT, AND NON-INFRINGEMENT.
  • MIYI DOES NOT GUARANTEE THAT THE SERVICES WILL BE UNINTERRUPTED, ERROR-FREE, SECURE, OR FREE FROM BUGS, MALWARE, OR SYSTEM OUTAGES.

10. Limitation of Liability

TO THE FULLEST EXTENT PERMITTED BY LAW, IN NO EVENT SHALL MIYI, ITS AFFILIATES, OFFICERS, DIRECTORS, EMPLOYEES, DEVELOPERS, OR AGENTS BE LIABLE FOR ANY INDIRECT, CONSEQUENTIAL, INCIDENTAL, SPECIAL, OR PUNITIVE DAMAGES, INCLUDING LOSS OF DIGITAL ASSETS, PROFITS, DATA, OR GOODWILL, ARISING FROM:

  • LOST, STOLEN, OR COMPROMISED PRIVATE KEYS OR SEED PHRASES.
  • USER ERRORS IN ENTERING TRANSACTION ADDRESSES OR SELECTING NETWORKS.
  • THIRD-PARTY MALWARE, PHISHING, OR SECURITY BREACHES ON USER DEVICES.
  • BLOCKCHAIN PROTOCOL HALTS, REORGS, OR NODE CONGESTION.
  • MERCHANDISE OR SERVICE DISPUTES ARISING FROM QR SCAN-TO-PAY TRANSACTIONS.

IN ALL CASES, MIYI'S AGGREGATE LIABILITY FOR ALL CLAIMS RELATING TO THE SERVICES SHALL NOT EXCEED $100.00 USD.

11. Indemnification

You agree to indemnify, defend, and hold harmless MIYI and its affiliates, officers, directors, employees, and developers from any claims, liabilities, losses, costs, or expenses (including legal fees) arising from your breach of these Terms, your improper use of the Services, or your violation of any third-party rights or applicable laws.

12. Governing Law and Dispute Resolution

12.1 Governing Law

These Terms and any non-contractual obligations or claims arising out of or in connection with them shall be governed by and construed strictly in accordance with the laws of Saint Lucia, without regard to conflict of law principles.

12.2 Binding Arbitration

Any dispute, controversy, difference, or claim arising out of or relating to these Terms, including the existence, validity, interpretation, performance, breach, or termination thereof, shall be referred to and finally resolved by confidential binding arbitration administered by the Singapore International Arbitration Centre (“SIAC”) in accordance with the Arbitration Rules of the Singapore International Arbitration Centre (“SIAC Rules”) for the time being in force.

  • The seat of arbitration shall be Singapore.
  • The tribunal shall consist of one (1) arbitrator.
  • The language of arbitration shall be English.

12.3 Waiver of Class Actions

YOU AND MIYI AGREE THAT ALL CLAIMS MUST BE BROUGHT IN AN INDIVIDUAL CAPACITY AND NOT AS A PLAINTIFF OR CLASS MEMBER IN ANY PURPORTED CLASS, CONSOLIDATED, OR REPRESENTATIVE PROCEEDING.

13. Severability and Entire Agreement

If any provision of these Terms is deemed invalid or unenforceable, that provision shall be enforced to the maximum extent permissible, and the remaining provisions shall continue in full force and effect. These Terms, along with the Privacy Policy and Risk Disclosure Statement, represent the entire agreement between you and MIYI concerning the Services.
