MIYI WALLET GENERAL RISK DISCLOSURE STATEMENT

This General Risk Disclosure Statement (“Risk Disclosure”) sets forth a non-exhaustive summary of the primary operational, technical, legal, and financial risks associated with accessing and utilizing the MIYI Wallet software, interface, and associated protocols (collectively, the “Services”).

MIYI Wallet is a product and service operated by MIYI, a company incorporated and registered under the laws of Saint Lucia. MIYI Wallet is not a separate legal entity. References to “MIYI Wallet” identify the product and Services, while references to “MIYI” refer to the same legal entity that operates the MIYI platform.

Please read this document carefully prior to executing any transactions. By initializing, importing, or using the MIYI Wallet, you acknowledge that you have read, understood, and voluntarily assumed all risks described herein and in the accompanying MIYI Wallet Terms of Use (the “Terms”).

1. Scope and Interpretation

  • Defined Terms: Capitalized terms utilized but not otherwise defined in this Risk Disclosure shall carry the definitions ascribed to them in the Terms.
  • Non-Exhaustive Disclosure: This document does not—and cannot—disclose or evaluate every potential risk arising from the use of cryptographic assets or decentralized applications. You must evaluate whether using the Services is appropriate in light of your specific financial situation, legal jurisdiction, and risk tolerance.

2. Self-Custodial Architecture & Security Responsibilities

  • Self-Custodial Protocol: MIYI Wallet operates strictly as a self-custodial (non-custodial) software interface. MIYI does not store, transmit, hold, or possess custody of your private keys, seed phrases, recovery material, or underlying digital assets at any time.
  • Absolute Responsibility for Key Management:
  • You maintain sole and exclusive ownership and control over your cryptographic private keys and recovery credentials.
  • Irrecoverability: If you lose, misplace, or compromise your private keys or backup seed phrase, MIYI has no technical capability to reset credentials, recover funds, or restore access to your wallet. Loss of key material results in permanent and irreversible loss of associated digital assets.
  • Endpoint and Infrastructure Security: You are exclusively responsible for securing the physical device, mobile operating system, and network connection used to access MIYI Wallet. MIYI is not liable for unauthorized asset transfers resulting from device theft, malware, keyloggers, unauthorized screen access, or compromised operating systems.

3. Deposit and Withdrawal Operational Risks

  • Immutability of Blockchain Transactions: All digital asset transfers—including inbound deposits and outbound withdrawals—processed via decentralized distributed ledgers are final, immutable, and non-refundable upon broadcast to the network. MIYI cannot pause, cancel, modify, or reverse any executed or pending on-chain transaction.
  • Address and Network Compatibility:
  • Destination Accuracy: Initiating a deposit or withdrawal to an incorrect or mistyped blockchain address will result in total loss of funds.
  • Cross-Chain & Network Selection: Transferring assets across incompatible protocol standards (e.g., sending ERC-20 tokens to a non-EVM address) or selecting an unsupported network will cause permanent loss. You bear complete responsibility for verifying chain compatibility and network parameters before confirming transactions.
  • Network Latency and Fee Volatility: Transaction validation times and network gas fees are subject to network congestion outside MIYI’s control. Delays in transaction execution or transaction failures resulting from insufficient gas limits or network spikes are the sole risk of the user.

4. QR Code Scan-to-Pay Specific Risks

  • Authentication and Recipient Verification: When utilizing the QR Code Scan-to-Pay feature for merchant or peer-to-peer payments, you must independently verify the destination address, network chain, and underlying payment details prior to final authorization.
  • Malicious QR Code Vectors: Bad actors may tamper with physical or digital QR codes (including "Qishing" attacks or address-swapping scripts). MIYI does not validate the integrity or authenticity of third-party QR codes. Authorizing a transfer via a corrupted or fraudulent QR code will result in an unrecoverable loss of funds.
  • Commercial & Merchant Disputes: MIYI Wallet functions exclusively as a peer-to-peer protocol interface and is not a payment facilitator, escrow agent, or credit provider. MIYI assumes no responsibility or liability for:
  • Non-delivery, defect, or illegality of goods or services purchased via QR Scan-to-Pay.
  • Pricing discrepancies, incorrect merchant billing, or refund requests. All commercial disputes must be resolved directly with the recipient merchant or counterparty.

5. Non-Advisory Status & Disclaimer

  • No Investment or Financial Advice: MIYI is a software provider and does not provide investment, financial, tax, or legal advice. No communication, feature, or content within the MIYI Wallet interface should be construed as an offer, recommendation, or solicitation to buy, sell, or hold digital assets.
  • No Fiduciary Duty: The provision of MIYI Wallet software does not create a fiduciary relationship, trust, or agency between you and MIYI.

6. Regulatory, Legal, and Tax Compliance

  • Regulatory Evolution: The legal and regulatory framework governing digital assets, self-custodial software, and peer-to-peer transactions remains uncertain and subject to rapid change across global jurisdictions. Future regulatory actions or legal mandates may restrict, alter, or terminate the availability of certain MIYI Wallet features without prior notice.
  • Taxation Obligations: You maintain sole responsibility for identifying, calculating, reporting, and remitting any and all applicable taxes, levies, or duties arising from your wallet activity, deposits, withdrawals, and merchant payments under the governing laws of your jurisdiction.

7. Limitation of Liability and Assumption of Risk

To the maximum extent permitted by applicable law, you expressly acknowledge and agree that you access and use MIYI Wallet at your own operational and financial risk. MIYI, its affiliates, officers, employees, and software developers shall not be liable for any direct, indirect, incidental, consequential, or punitive damages resulting from loss of private keys, transaction errors, software vulnerabilities, network disruptions, or unauthorized third-party actions.
